Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and Prometheuz Health, Inc. ("Prometheuz," "we," "our," or "us") governing your access to and use of the Prometheuz telehealth platform, website, mobile applications, and all related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

Eligibility

You must be at least 18 years of age to use our Services. By accessing or using the Services, you represent and warrant that:

• You are at least 18 years old.
• You are a resident of a U.S. state or territory where our Services are available.
• You have the legal capacity to enter into a binding agreement.
• All information you provide to us is accurate, complete, and current.
• You are not prohibited from receiving our Services under any applicable law.

Description of Services

Prometheuz is a telehealth platform that connects patients with independent, licensed healthcare providers who offer consultations, lab order coordination, and ongoing monitoring for hormone optimization and related wellness protocols. Our Services include:

• Online health intake and symptom questionnaires.
• Coordination of laboratory testing through third-party lab partners.
• Asynchronous and synchronous consultations with licensed providers.
• Medication management and prescription fulfillment through partner pharmacies.
• Ongoing monitoring, dose adjustments, and care team support.
• Access to educational content and health resources.

Prometheuz does not itself employ physicians or provide medical services. All clinical decisions are made independently by licensed providers on our platform. We facilitate the connection between patients and providers; we do not practice medicine.

Medical Disclaimer

The Services do not replace the relationship between a patient and their primary care physician or specialist. The information, content, and communications available through our platform are for informational purposes only and do not constitute medical advice, diagnosis, or treatment.

If you are experiencing a medical emergency, call 911 or go to the nearest emergency room immediately. Prometheuz is not an emergency medical service and should not be used for urgent or life-threatening conditions.

Outcomes from treatment vary by individual. No guarantees are made regarding the effectiveness of any treatment protocol. Your provider will work with you to find an appropriate plan, but results cannot be assured.

Account Registration

To access most features of our Services, you must create an account. You agree to:

• Provide accurate and complete registration information.
• Maintain the security and confidentiality of your account credentials.
• Notify us immediately of any unauthorized access to your account.
• Accept responsibility for all activity that occurs under your account.
• Not create accounts for others or share your account with any third party.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe pose a risk to other users, providers, or our platform.

Subscriptions and Payment

Subscription Plans

Access to clinical services is provided through subscription plans. Plan details, pricing, and inclusions are presented to you during enrollment. By subscribing, you authorize Prometheuz to charge your payment method on the recurring basis described at checkout.

Payment

All fees are charged in U.S. dollars. Payments are processed securely through our third-party payment processor. By providing payment information, you represent that you are authorized to use the payment method and authorize charges in the amounts and on the schedule described.

Price Changes

We may modify subscription pricing at any time. We will provide at least 30 days' advance notice of price changes via email. Your continued use of the Services after the price change takes effect constitutes acceptance of the new pricing.

Taxes

You are responsible for all applicable taxes associated with your use of the Services. Where required by law, we will collect and remit applicable taxes on your behalf.

Cancellation and Refunds

You may cancel your subscription at any time by contacting our support team at [email protected]. To avoid being charged for the next billing cycle, cancellation requests must be submitted at least 72 hours before your next billing date.

Cancellation ends future charges but does not entitle you to a refund for amounts already billed, except where required by applicable law or as described in our Cancellation Policy. Lab fees and pharmacy charges are non-refundable once services have been rendered. If you believe a charge was made in error, please contact us within 30 days of the charge.

User Conduct

You agree not to use the Services to:

• Provide false or misleading health or personal information.
• Impersonate any person or entity or misrepresent your affiliation.
• Attempt to gain unauthorized access to any part of the platform or another user's account.
• Transmit harmful, offensive, or unlawful content through any messaging feature.
• Use the Services for any commercial purpose other than as expressly permitted.
• Interfere with, disrupt, or overburden our platform or infrastructure.
• Circumvent any security or access controls.
• Violate any applicable local, state, federal, or international law or regulation.

Intellectual Property

All content, features, and functionality of the Services — including text, graphics, logos, icons, images, audio clips, and software — are owned by Prometheuz or its licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial purposes only.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any portion of the Services without our prior written consent.

Privacy

Your use of the Services is subject to our Privacy Policy and HIPAA Notice of Privacy Practices, both of which are incorporated into these Terms by reference. Please review these documents carefully, as they describe how we collect, use, and protect your information.

Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, PROMETHEUZ DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components. We do not warrant the accuracy or completeness of any information provided through the Services. Clinical outcomes are not guaranteed.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PROMETHEUZ AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO PROMETHEUZ IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Prometheuz and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Services shall first be addressed through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.

You waive any right to participate in a class action lawsuit or class-wide arbitration against Prometheuz to the extent permitted by applicable law.

Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a prominent notice on our platform at least 30 days before the changes take effect. Your continued use of the Services after the effective date of any revision constitutes acceptance of the updated Terms. If you do not agree to the revised Terms, you must discontinue use of the Services and cancel your subscription.
